TERMS AND CONDITIONS

STRATEGIC NON-COMMERCIAL PARTNERSHIP TERMS

These Terms & Conditions govern the Strategic Non-Commercial Partnership between AI Tech UK ("we", "us", "our") and the Partner (the organisation or individual entering into this partnership), effective upon execution or commencement of engagement. 

​

1. Purpose and Scope 

​

1.1 This partnership aims to create mutual value through strategic amplification, brand alignment, and collaborative promotion, without a commercial or sales-based relationship.

​

1.2. Activities may include co-branded content, thought leadership initiatives, shared event presence, joint promotional activity, media amplification, and ecosystem engagement.

​

2. Collaboration Principles

​

2.1. Each party shall support the other in good faith by:

- Promoting agreed campaigns or content across their channels.

- Participating in co-branded and co-hosted activities. 

- Representing the partnership in a professional and aligned manner. 

​

2.2. Any commitments to events, deliverables, or campaigns will be agreed in writing in advance via email or programme schedules. 

​

3. Intellectual Property and Brand Use

​

3.1. Any intellectual property created, presented or used by AI Tech UK during the course of this partnership (e.g., materials, branding, designs, documentation) remains the exclusive property of AI Tech UK.

​

3.2. The Partner may use AI Tech UK’s branding or logo solely for mutually agreed promotional purposes, subject to prior written approval and brand guidelines.

​

3.3. Any branding or IP shared by the Partner will remain their property and may be used by AI Tech UK only for partnership-related activities, and by the Partner’s brand guidelines or terms.

​

4. Confidentiality

​

4.1. Both parties acknowledge that confidential or sensitive information may be shared in the course of this partnership.

​

4.2. Each party agrees not to disclose, use, or replicate any confidential or proprietary information for commercial purposes or to develop similar services without written consent.

​

5. Data & Privacy 

​

5.1. Where any personal data is exchanged (e.g., attendee or campaign data), both parties agree to comply with applicable UK GDPR and data protection laws.

​

5.2. Any shared data will be used strictly for the purpose agreed in writing, and shall not be transferred, sold or reused for unrelated purposes without consent.

​

5.3. Both parties shall take all reasonable measures to protect shared data from unauthorised access or misuse.

​

6. Restrictive Covenants 

​

6.1. The Partner agrees not to engage in any conduct that may undermine the reputation, commercial interests or operational integrity of AI Tech UK during the term of the partnership.

​

6.2. The Partner shall not solicit or attempt to engage any member of AI Tech UK’s team, clients, delivery staff or community for competing projects during the term and for 12 months thereafter.

​

7. Non-Compete 

​

7.1. During the term of the partnership and for a period of three (3) years after termination, the Partner shall not: 

- Use AI Tech UK's confidential methodologies, models, or proposals for competing or derivative programmes 

- Engage in directly competitive initiatives using content or frameworks developed collaboratively or shared during the engagement. 

​

8. Publicity and Acknowledgement

​

8.1. Where applicable, both parties shall mutually acknowledge the partnership across promotional materials, event listings, press coverage and public-facing collateral as agreed. 

​

8.2. Neither party shall present itself as an agent, legal representative, or have authority to bind the other without written permission. 

​

9. Termination and Amendments 

​

9.1. Either party may terminate this Agreement with 30 days written notice. 

​

9.2. AI Tech UK reserves the right to terminate immediately in cases of misconduct, reputational damage, or breach of confidentiality or non-compete provisions. 

​

9.3. These terms may be updated from time to time to reflect evolving strategy or international expansion. Any material change will be communicated in writing with reasonable notice. 

​

10. Liability and Indemnity

The Partner shall indemnify and hold harmless AI Tech UK from any claims, losses or liabilities arising from breach of these terms, including confidentiality or restrictive clauses. 

​

11. Governing Law and Jurisdiction 

This Agreement shall be governed by and construed by the Laws of England and Wales, and any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
