TERMS AND CONDITIONS

STRATEGIC STARTUP PARTNERSHIP TERMS 

​

These terms and conditions govern the Strategic Startup Partnership between AI Tech UK ("we", "us", "our") and the Startup Partner (the Organisation or entity entering into this agreement), effective from the date of execution. 

​

1. Purpose and Scope

​

1.1. The purpose of this partnership is to provide strategic support to the Startup Partner, including:

- Commercial introductions to potential clients, collaborators, or ecosystem stakeholders; 

- AI Governance guidance, including best practices, frameworks, and readiness assessments; 

- Introductions to International markets, programmes, and networks; and 

- Support with identifying and connecting with International Investors and Capital Networks.

1.2. This is a non-exclusive partnership unless otherwise agreed in writing.

2. Investment Support and Success Fee

​

2.1. Where AI Tech UK directly supports or facilitates introductions that result in external investment into the Startup Partner from international or domestic sources, the Startup Partner agrees to:

- Pay AI Tech UK an agreed commission on the total gross investment amount received. 

​

2.2. “Gross investment” refers to all capital received as a result of AI Tech UK’s facilitation, excluding taxes, legal deductions, or third-party broker fees.

​

2.3. Commission is payable within 30 days of the investment being received and validated in writing.

​

2.4. The Startup Partner shall inform AI Tech UK within 7 days of: 

- Any successful capital raise linked to introductions made by AI Tech UK 

- The source and nature of funds received 

- The investment agreements or terms that confirm such funding (confidential terms may be redacted where appropriate).

3. Commercial Introductions

​

3.1. AI Tech UK may make targeted commercial introductions to prospective clients, partners, or ecosystem leads.

​

3.2. These introductions are made on a best-efforts basis and are non-binding, with no performance guarantees.

​

3.3. The Startup Partner agrees to maintain transparency in engagement with referred parties and shall not bypass AI Tech UK in a way that circumvents future collaboration.

​

4. AI Governance & Market Access Support 

​

4.1. AI Tech UK will provide guidance, templates and advice in areas such as: 

- AI Governance Readiness 

- Ethical Compliance Frameworks 

- Responsible AI Deployment 

​

4.2. The Startup Partner acknowledges that this support is strategic and advisory in nature, and does not constitute regulated legal or financial advice. 

​

4.3. AI Tech UK may also support the Startup Partner with access to international events, networks, trade missions, and ecosystem partners, where mutually agreed.

​

5. Confidentiality 

​

5.1. Each party agrees to treat all non-public, business-sensitive or strategic information received from the other party as strictly confidential. 

​

5.2. This obligation shall survive for three (3) years after the termination of this agreement. 

​

6. Non-Circumvention and Non-Solicitation 

​

6.1. The Startup Partner agrees not to circumvent AI Tech UK by engaging directly with referred investors, clients, or partners without acknowledging AI Tech UK's role and arranging agreed commission where applicable. 

​

6.2. The Startup Partner shall not solicit or attempt to employ any AI Tech UK team member, delivery partner, or associate during the term of the partnership and for 12 months thereafter. 

​

7. Intellectual Property 

​

7.1. Any intellectual property, brand assets, methodologies, or materials developed or provided by AI Tech UK remain its exclusive property. 

 

7.2. The Startup Partner may use approved AI Tech UK branding solely for agreed marketing or joint announcements, subject to prior written consent. 

 

8. Termination and Amendments

 

8.1. Either party may terminate this agreement by providing 30 days written notice. 

 

8.2. AI Tech UK reserves the right to terminate immediately in case of misconduct, breach of confidentiality or non-compliance with non-circumvention terms. 

 

8.3. These terms may be updated from time to time with written notice, reflecting changes to partnership structure, expansion, or compliance requirements. 

 

9. Liability and Indemnity

 

9.1. AI Tech UK shall not be liable for indirect, incidental, or consequential damages resulting from commercial, investment, or advisory introductions. 

 

9.2. The Startup Partner agrees to indemnify and hold harmless AI Tech UK from any losses or claims arising out of breaches of this agreement, including misuse of confidential information or failure to pay agreed commissions. 

 

10. Governing Law and Jurisdiction 

This Agreement shall be governed by the Laws of England and Wales, and any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
